Leadership Tampa Bay Board of Directors – Description

About Leadership Tampa Bay:

Leadership Tampa Bay is a non-profit organization that is governed by an independent board of directors who live and work in various parts of the Tampa Bay region. The program is funded through tuition and sponsorships, and 100 percent of monies go toward programs for class members and alumni.

Leadership Tampa Bay Mission Statement:

Engage members with businesses and community leaders to enhance knowledge of regional assets and issues.


The qualifications for becoming and remaining a Director of this Corporation are as follows:

  • Directors must be residents of the state of Florida; and
  • Directors must be a graduate of a Leadership Tampa Bay class; and
  • Directors must be a Member in good financial standing with the Corporation.

Duties of Directors:

While day-to-day operations are led by our Executive Director, the Board/Executive Director relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. It shall be the responsibility of a Director to:

  • A Director is expected to attend meetings, whether regular or special, of the Board and of any committee of the Board to which the Director has been appointed.
  • A Director shall perform his or her duties as a Director, including his or her duties as a member of any committee of the Board upon which he or she may serve, in good faith, in a manner he or she reasonably believes to be in the best interests of the Corporation, and with such care as an ordinarily prudent person in a like position would use under similar circumstances.
  • In performing his or her duties, a Director shall be entitled to rely on information, opinions, reports, or statements, including financial statements and other financial data, in each case prepared or presented by:
    • One or more officers or employees of the Corporation whom the Director reasonably believes to be reliable and competent in the matters presented.
    • Counsel, public accountants, or other persons as to matters which the Director reasonably believes to be within such person’s professional or expert competence; or
    • A committee of the Board upon which he or she does not serve, duly designated in accordance with a provision of the Articles of Incorporation or these Bylaws, as to matters within its designated authority.
  • A Director shall not be considered to be acting in good faith if he or she has knowledge concerning the matter in question that would cause such reliance described above to be unwarranted.
  • A person who performs his or her duties in compliance with this section shall have no liability by reason of being or having been a Director of the Corporation.
  • Attend and participate in all board meetings in person. Excused absences will be assessed by the board on a case-by-case situation based on extenuating circumstances. Two excused absences.
  • Attend, participate, and contribute to at least three Leadership Tampa Bay Events.
  • Participate in/Chair a standing committee of the Board to plan a program day, an alumni event, or recruitment event and serve on ad-hoc committees as necessary and provide a budget, including a succession plan.
  • Be alert to community concerns/assets that can be addressed by Leadership Tampa Bay’s mission, objectives, and programs.
  • Communicate and promote Leadership Tampa Bay’s mission and programs to the community.
  • Follow trends and changes within Leadership Tampa Bay so you may be able to effectively promote the mission.
  • Financially support Leadership Tampa Bay in a manner commensurate with one’s ability.
  • Work with the Recruitment Committee to recruit at least two members to each class year.
  • Work with the Sponsorship Committee to secure sponsorships for Leadership Tampa Bay.
  • Work with the Membership Committee for member retention.
  • Review the agenda and supporting materials prior to Board and committee meetings.
  • Support the organization by representing the organization in the community.
  • Commit to four hours for Candidate Interviews in person.

Time Commitment:

The Board of Directors shall hold regular meetings every other month starting in August 2024 through May 2025 on the second Tuesday of the month at 11:30 a.m. Our Board Retreat, which attendance is mandatory will be held on June 18, 2024. Any Director who misses two Board meetings during any given fiscal year shall be contacted by the Chair in writing and asked for an explanation.

Each Director is asked to serve on at least one committee. Committee meetings may be called at any reasonable time by the respective committee Chairs. Commitment varies from once a month to quarterly.

Special meetings may also be called at any reasonable time upon the call of the Executive Committee or the Chair or by a one-third vote of the members of the Board of Directors. Notice of a special meeting, which shall describe the purpose of the meeting, shall be sent to each member at least five days prior to the special meeting.

Length of Commitment:

Directors shall each be elected for two (2) year terms, or a (1) year term, on a staggered basis, such that approximately one-half of the seats on the Board of Directors are available for election in any given year.

No Director may serve for more than three (3) consecutive terms (a total of 6 years), except that a director elected to an Officer position may exceed the 6-year term limit. However, the total time of consecutive service as a Director and Officer may not exceed 8 years unless the officer is elected to be Chair-Elect therefore it would extend the term to a max of 11 years. Upon completion of the final term or tenure as an officer, a Director will be required to wait a minimum of one year before being eligible to be reappointed to the Board of Directors.



The Leadership Tampa Bay class year begins in September and runs through May. Each year, the Board of Directors organizes 11 class days that focus on regional issues and opportunities. The agenda for each day consists of panel discussions with business civic and government leaders, questions and answer sessions, and facility tours. In addition, each class member participates in both an opening and closing retreat and a two-day Tallahassee Trip.
